Welcome to Sky500.com ("Sky500," "Company," "we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of Sky500.com and any related websites, mobile applications, services, communications, and technology platforms operated by Sky500 (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Platform. 1. About Sky500 Sky500 is an online aviation marketplace that connects travelers, aircraft operators, charter brokers, and aviation service providers. Sky500 is not a direct air carrier, aircraft operator, aircraft owner, maintenance provider, or aviation insurer. All air transportation services are provided by independent FAA-certified or otherwise properly licensed air carriers and operators who maintain full operational control of their aircraft and flights. Sky500's role is limited to facilitating communications, charter requests, quotes, bookings, and related services between users and aviation providers. 2. Eligibility You must be at least 18 years old and legally capable of entering into binding agreements to use the Platform. By using the Platform, you represent and warrant that: * You are at least 18 years of age; * You have the authority to enter into these Terms; * The information you provide is accurate and complete; and * Your use of the Platform complies with all applicable laws and regulations. 3. User Accounts Certain features may require account registration. You are responsible for: * Maintaining the confidentiality of your login credentials; * All activity occurring under your account; * Promptly notifying Sky500 of any unauthorized use. Sky500 reserves the right to suspend or terminate accounts at any time for violations of these Terms or for any reason deemed necessary to protect the Platform or its users. 4. Charter Requests and Flight Bookings Submission of a charter request does not guarantee aircraft availability, pricing, or booking confirmation. All quotes, pricing, and flight availability are subject to: * Aircraft availability; * Operator approval; * Regulatory requirements; * Airport restrictions; * Weather conditions; * Operational considerations. A charter flight is not confirmed until the applicable operator accepts the booking and all required payments have been received. 5. Operator Responsibility All flight operations are conducted exclusively by independent aircraft operators. The operator providing the flight is solely responsible for: * Flight operations; * Crew qualifications; * Aircraft maintenance; * Regulatory compliance; * Passenger safety; * Insurance coverage; * Operational control. Sky500 does not control or supervise flight operations and makes no guarantees regarding the performance of any operator. 6. Pricing and Payments Prices displayed on the Platform may change without notice until a booking is confirmed. Additional charges may apply, including: * Fuel surcharges; * Airport fees; * Landing fees; * International handling charges; * Passenger taxes; * Government fees; * Catering charges; * Ground transportation; * Deicing and weather-related expenses. Users are responsible for reviewing all pricing information prior to completing a booking. 7. Cancellations and Refunds Cancellation and refund policies vary by operator and booking type. By booking through Sky500, you acknowledge that: * Cancellation fees may apply; * Refund eligibility is determined by the applicable operator; * Flights may be delayed, modified, or canceled due to weather, maintenance, government actions, air traffic restrictions, or other operational circumstances. Sky500 is not responsible for costs, losses, or damages arising from flight delays, cancellations, schedule changes, or disruptions beyond its control. 8. Acceptable Use You agree not to: * Use the Platform for unlawful purposes; * Submit false or misleading information; * Interfere with the operation of the Platform; * Attempt unauthorized access to systems or accounts; * Introduce malware or malicious code; * Engage in fraudulent conduct; * Violate any applicable aviation, transportation, or consumer protection laws. Sky500 reserves the right to investigate violations and take appropriate action, including termination of access. 9. Intellectual Property All content on the Platform, including text, graphics, logos, software, databases, designs, trademarks, service marks, and proprietary technology, is owned by or licensed to Sky500 and protected under applicable intellectual property laws. No content may be copied, reproduced, distributed, modified, or exploited without prior written permission from Sky500. 10. User Content If you submit reviews, comments, feedback, photographs, or other materials through the Platform, you grant Sky500 a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, publish, distribute, and display such content in connection with operating and promoting the Platform. You represent that you own or have permission to provide such content. 11. Third-Party Services The Platform may contain links to third-party websites, operators, vendors, advertisers, or service providers. Sky500 is not responsible for: * Third-party websites; * Third-party content; * Products or services offered by third parties; * Privacy or security practices of third parties. Your use of third-party services is at your own risk. 12. Disclaimer of Warranties THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKY500 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY. SKY500 DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. 13. Limitation of Liability TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKY500, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, PARTNERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. IN NO EVENT SHALL SKY500'S TOTAL LIABILITY EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID TO SKY500 IN CONNECTION WITH THE APPLICABLE BOOKING; OR (B) ONE HUNDRED U.S. DOLLARS ($100). 14. Indemnification You agree to indemnify, defend, and hold harmless Sky500 and its officers, directors, employees, agents, affiliates, and partners from any claims, damages, liabilities, losses, costs, or expenses arising from: * Your use of the Platform; * Your violation of these Terms; * Your violation of any law or regulation; * Your infringement of any third-party rights. 15. Privacy Your use of the Platform is also governed by Sky500's Privacy Policy, which is incorporated into these Terms by reference. 16. Force Majeure Sky500 shall not be liable for delays or failures resulting from causes beyond its reasonable control, including: * Severe weather; * Natural disasters; * Government actions; * Public health emergencies; * Labor disputes; * Cybersecurity incidents; * Utility failures; * Aviation system disruptions. 17. Modifications Sky500 reserves the right to modify these Terms at any time. Updated Terms will be posted on the Platform with a revised Effective Date. Continued use of the Platform constitutes acceptance of the updated Terms. 18. Governing Law These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. 19. Dispute Resolution Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in Los Angeles County, California, except where prohibited by applicable law. The parties waive any right to participate in a class action lawsuit or class arbitration. 20.
